Real Estate FinanceThis course emphasizes the legal theory and document draftsmanship aspects of commercial real estate transactions. Topics covered include the mortgage market and types of lenders; the recent repricing of real estate; the recapitalization of commercial real estate; an analysis of permanent and construction loan documentation including the permanent loan take-out commitment, ground leases, construction loan agreement, note and mortgage, buy-sell agreement, and equity financing including the use of convertible mortgages and joint venture agreements. The law of troubled real estate is another topic which includes an examination of loan workouts, and foreclosure. Equity real estate investment trusts (REFITS) and other aspects of securitization are also covered.
